4. Infrastructure, Data Storage, and Security
4.1. Cloud Infrastructure. All User data, Content, and Account information are securely stored on managed cloud infrastructure operated by contracted providers. By using the Services, you acknowledge and agree that your data will be stored and processed on cloud infrastructure selected and managed by Cortexvia and its providers.
4.2. Data Sovereignty and Geographic Location. While Cortexvia endeavors to optimize performance and reliability, the geographic location of servers and data centers may vary based on operational requirements, load balancing, failover configurations, and infrastructure availability. Cortexvia does not guarantee that your data will be stored or processed in any specific geographic location, region, or jurisdiction unless explicitly stated in a separate enterprise agreement.
4.3. Encryption and Data Protection. User data is encrypted both at rest and in transit using industry-standard encryption protocols. Sensitive credentials, including but not limited to passwords, API keys, and authentication tokens, are encrypted using additional security measures. Notwithstanding these security measures, no method of transmission over the Internet or method of electronic storage is completely secure, and Cortexvia cannot guarantee absolute security.
4.4. Backup and Disaster Recovery. Cortexvia implements automated backup procedures to protect against data loss. Backups are performed on a regular schedule and are stored across multiple isolated environments for redundancy. In the event of a primary server failure, backup systems are designed to automatically assume operations to minimize service disruption. However, Cortexvia does not guarantee that backups will be available, complete, or recoverable in all circumstances. Backup retention periods may vary, and data that has been deleted by the User may not be recoverable after the applicable retention period.
4.5. Limitation of Liability for Data Loss. Notwithstanding any other provision of these Terms of Service, Cortexvia shall not be liable for any loss, corruption, or unrecoverability of user data, regardless of the cause, including but not limited to system failures, cyberattacks, natural disasters, or human error. Users are strongly advised to maintain independent backups of all critical data.
5. Technical Operations and Service Delivery
5.1. Service Architecture Overview. The Services are built on a distributed microservices architecture designed for scalability, reliability, and performance optimization. Various components of the Services may be deployed across multiple computing environments, including but not limited to containerized applications, serverless functions, managed database services, content delivery networks, caching layers, and load balancers. The specific technical implementation may evolve over time as Cortexvia optimizes for performance, cost efficiency, and feature development.
5.2. Computational Processing. To deliver the functionalities described herein, the Services perform various computational operations including but not limited to text parsing, document analysis, vector embeddings generation, similarity search, natural language understanding, response generation, and content optimization. These operations may be performed using a combination of proprietary algorithms, open-source libraries, and external computational resources optimized for specific workloads.
5.3. External Service Dependencies. The Services rely on various external service providers for specialized functionality. These may include cloud infrastructure providers for hosting and storage, content delivery networks for performance optimization, payment processors for transaction handling, email service providers for communications, analytics platforms for usage monitoring, and computational service providers for specialized processing tasks. By using the Services, you acknowledge that your data may be processed by these external providers in accordance with their respective terms and policies.
5.4. AI Processing Disclosure. To provide AI responses, we transmit only the minimum relevant portions of your content to third-party AI and infrastructure providers. We use encrypted transport and apply data-minimization controls. We do not sell or rent your personal data. For production workloads, we use provider configurations intended for inference-only processing. Provider-specific retention and model-improvement practices depend on the provider, service tier, and contractual terms in effect.
5.5. Provider Data Handling. External computational and infrastructure providers operate under their own terms of service and privacy policies. These policies govern how transmitted data is processed, retained, and used by such providers. Cortexvia does not control and cannot guarantee the data handling practices, retention policies, or security measures implemented by external service providers. By using the Services, you acknowledge and accept all risks associated with the processing of your data by external providers.
5.6. Disclaimer Regarding External Providers. Cortexvia is not responsible or liable for any actions, omissions, security incidents, data breaches, service interruptions, or policy changes by external service providers. Users should not submit highly sensitive, regulated, or confidential data through the Services unless they have fully assessed and accepted the risks associated with external processing. This includes but is not limited to protected health information, financial credentials, government classified information, or trade secrets.
5.7. Provider Selection and Modification. Cortexvia reserves the right to add, remove, replace, or modify external service providers at any time without prior notice, based on operational requirements including performance, cost, reliability, feature availability, and strategic considerations. Such changes may affect processing latency, response characteristics, or feature behavior but do not constitute a material modification requiring separate user consent.
5.8. Data Transmission Practices. When data is transmitted to external providers for processing, Cortexvia follows data minimization principles by transmitting only the data necessary for the specific processing task. Where technically feasible and operationally appropriate, personal identifiers may be removed, anonymized, or pseudonymized prior to transmission. However, certain processing operations may require transmission of complete content to function correctly.
5.9. Caching and Performance Optimization. To improve response times and reduce computational costs, the Services may implement various caching mechanisms at different layers of the architecture. Cached data may be stored temporarily in memory caches, distributed caches, or edge locations. Cache invalidation policies are designed to balance performance with data freshness requirements.
5.10. Logging and Monitoring. The Services maintain operational logs for debugging, performance monitoring, security analysis, and service improvement purposes. These logs may contain metadata about requests, responses, errors, and system events but are designed to minimize the capture of sensitive user content. Log retention periods are determined by operational and legal requirements.
6. Acceptable Use Policy
6.1. General Conduct. You agree to use the Services only for lawful purposes and in accordance with these Terms of Service. You agree not to use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party's use and enjoyment of the Services.
6.2. Prohibited Content. You shall not upload, submit, store, transmit, or process through the Services any Content that: (a) infringes upon or violates any patent, trademark, trade secret, copyright, right of publicity, right of privacy, or other proprietary or intellectual property right of any party; (b) is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, vulgar, pornographic, offensive, or profane; (c) promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual; (d) contains malware, viruses, trojan horses, worms, time bombs, cancelbots, or other computer programming routines intended to damage, interfere with, intercept, or expropriate any system, data, or personal information; (e) promotes illegal activities or provides instructional information about illegal activities; (f) constitutes or contains gambling, adult entertainment, or any form of explicit sexual content; (g) impersonates any person or entity or falsely represents your affiliation with any person or entity; or (h) violates any applicable local, state, national, or international law or regulation.
6.3. Enforcement. Cortexvia reserves the right, but has no obligation, to monitor, review, or edit any Content uploaded or transmitted through the Services. Violation of the Acceptable Use Policy may result in immediate suspension or termination of your Account without notice and without refund. Cortexvia may also report violations to appropriate law enforcement authorities and cooperate with investigations as required by law.
6.4. Free Tier Abuse and Rate Limit Circumvention. The creation of multiple accounts by a single individual, entity, or affiliated group for the purpose of circumventing free tier usage limits, API rate limits, or any other Service restrictions constitutes a material breach of this Agreement. Prohibited conduct includes, without limitation: creation of duplicate accounts using alternative credentials; deployment of automated account registration systems; distribution, sale, or sharing of API keys or authentication tokens; coordination between accounts to aggregate or pool usage allowances; use of technical measures including but not limited to VPNs, proxies, or device spoofing to evade account linkage detection; and any scheme designed to obtain Services in excess of entitled limits without payment. Upon detection of such violations, Cortexvia shall, without prior notice and in its sole discretion: (i) immediately and permanently terminate all associated accounts; (ii) delete all data, Content, and Chatbots linked to such accounts without possibility of recovery; (iii) blacklist associated identifiers including email addresses, phone numbers, payment methods, and device fingerprints; (iv) forfeit any remaining subscription value without refund; and (v) reserve all rights to pursue civil damages, injunctive relief, and criminal prosecution under applicable laws relating to fraud and computer crimes.
7. Intellectual Property Rights
7.1. Cortexvia Intellectual Property. The Services, including but not limited to the Cortexvia platform, website, applications, logos, trademarks, trade names, service marks, and all content, features, and functionality thereof, are owned by Cortexvia or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Nothing in these Terms of Service grants you any right, title, or interest in or to the Cortexvia Intellectual Property except as expressly set forth herein.
7.2. User Content Ownership. You retain all ownership rights in and to the Content you upload, submit, or transmit through the Services. By submitting Content to the Services, you grant Cortexvia a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Content solely to operate, secure, maintain, troubleshoot, and provide the Services to you, and to comply with applicable law.
7.3. AI-Generated Outputs. With respect to content generated by the AI features of the Services in response to your queries or based on your Content ("AI Outputs"), subject to any third-party rights and the terms of this Agreement, you may use such AI Outputs for your own personal or commercial purposes. Cortexvia does not claim ownership of AI Outputs but retains the right to use aggregated and anonymized data derived from AI interactions for analytics, security, and product quality monitoring. Processing and retention practices for external providers depend on provider terms and active service tiers.
7.4. Testimonials and Marketing. By using the Services, you grant Cortexvia the right to use anonymized, non-sensitive feedback, testimonials, usage patterns, and success stories for marketing, promotional, and educational purposes. Cortexvia will not publicly disclose private files, confidential communications, or personally identifiable information without your express consent.
8. Fees, Billing, and Subscriptions
8.1. Subscription Tiers. The Services are offered under various Subscription tiers, which may include free tiers with limited functionality and paid tiers with enhanced features and higher usage limits. The features, limitations, and pricing of each tier are described on the Cortexvia website and may be modified at any time.
8.2. Payment Terms. If you subscribe to a paid tier, you agree to pay all applicable fees as described at the time of purchase. All fees are quoted and payable in the currency specified at checkout. Payment is due upon subscription or renewal. Prices are set in US Dollars, or in the local currency of the countries where we publish a fixed local price. Where we display a price in another currency, that price is converted from the US Dollar price using exchange rates we refresh daily, and then rounded up to a whole amount so the price stays stable and readable. Because of this rounding and the daily refresh, a local price may differ slightly from a live currency conversion. The price shown to you at checkout is the price you are charged, in the currency shown, with no conversion fee added afterwards. Prices shown on our marketing and documentation pages are cached for performance and may briefly lag the current price, typically by no more than 5 percent, after an exchange rate or plan price update. The price shown on the checkout page is the authoritative price. If the two differ, the checkout price applies, and you can close the checkout without paying if you do not wish to proceed. We may update local prices when exchange rates change. Cortexvia uses Dodo Payments as its payment processor and merchant of record. Dodo Payments is the seller of record for your purchase, issues the invoice, and is responsible for collecting and remitting any applicable sales tax, VAT, or GST. Cortexvia may add additional payment processing partners in the future. By providing payment information, you represent that you are authorized to use the payment method and authorize Cortexvia to charge the applicable fees.
8.3. Manual Renewal. Paid Subscriptions do not automatically renew at the end of each billing period. You must manually renew before expiry to continue paid access. If this policy changes in the future, Cortexvia will provide advance notice and updated terms.
8.4. Cancellation and Non-Refund. You may cancel your Subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that time. Except as expressly set forth in the Refund Policy, all fees are non-refundable. No refunds or credits will be provided for partial subscription periods, unused features, or account suspensions or terminations resulting from violations of these Terms of Service.
8.5. Taxes. All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes, levies, or duties, except for taxes based on Cortexvia's net income.
9. Chatbot End-User Interactions and Liability
9.1. End-User Data. When End-Users interact with Chatbots created through the Services, their queries, responses, and any information they provide are stored and associated with the User's Account. You, as the User, are the data controller for all End-User data collected through your Chatbots. Cortexvia acts as a data processor on your behalf.
9.2. User Responsibility for End-User Data. You are solely responsible for: (a) providing appropriate privacy notices to End-Users; (b) obtaining any necessary consents for data collection and processing; (c) handling End-User data in compliance with applicable privacy laws; (d) responding to End-User data subject requests; and (e) any harm arising from your handling of End-User data.
9.3. AI Response Disclaimer. AI-generated responses may be inaccurate, incomplete, biased, or inappropriate. Cortexvia does not guarantee the accuracy, reliability, or suitability of any AI-generated content for any purpose. You assume all risks associated with the use of AI outputs in your chatbots. Cortexvia is not liable for any harm, loss, or damage arising from AI-generated responses, including but not limited to misinformation, incorrect advice, or offensive content.
9.4. No Professional Advice. The Services and AI-generated responses do not constitute legal, financial, medical, psychological, or other professional advice. Users should not rely on AI responses for critical decisions and should consult qualified professionals for specific advice.
10. Account Suspension and Termination
10.1. Suspension for Violations. Cortexvia may, in its sole discretion, suspend your Account immediately and without prior notice if: (a) you breach any provision of these Terms of Service; (b) Cortexvia is required to do so by law; (c) your Account is flagged for potential fraud, abuse, or security concerns; or (d) your continued use of the Services poses a risk to other Users, End-Users, or the integrity of the Services.
10.2. Termination by User. You may terminate your Account at any time by contacting support or using the Account deletion feature in your dashboard. Upon termination, your access to the Services will cease, and your Content may be deleted in accordance with the Data Usage Policy.
10.3. Termination by Cortexvia. Cortexvia may terminate your Account: (a) immediately upon notice if you breach these Terms of Service; (b) upon thirty (30) days' notice for any reason or no reason; or (c) immediately if required by law or to protect the Services, other Users, or third parties.
10.4. Effect of Termination. Upon termination: (a) all rights granted to you under these Terms of Service immediately cease; (b) you must immediately cease all use of the Services; (c) any fees owed become immediately due and payable; and (d) Cortexvia may delete your Content and Account data, subject to any legal retention requirements. Sections of these Terms of Service that by their nature should survive termination shall survive, including but not limited to provisions regarding intellectual property, disclaimers, limitations of liability, and indemnification.
11. Disclaimers of Warranties
11.1. As-Is Basis. The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Cortexvia disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
11.2. No Guarantee of Results. Cortexvia does not warrant that the Services will meet your requirements, that the Services will be uninterrupted, timely, secure, or error-free, that the results obtained from the use of the Services will be accurate or reliable, or that any errors in the Services will be corrected.
11.3. Third-Party Disclaimer. Cortexvia makes no representations or warranties regarding any third-party products, services, or providers, including third-party AI providers. Your use of third-party products or services is at your own risk and subject to the terms and conditions of those third parties.
12. Limitation of Liability
12.1. Exclusion of Damages. To the maximum extent permitted by applicable law, in no event shall Cortexvia, its affiliates, directors, officers, employees, agents, partners, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with these Terms of Service or your use of or inability to use the Services, regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Cortexvia has been advised of the possibility of such damages.
12.2. Liability Cap. To the maximum extent permitted by applicable law, the total liability of Cortexvia for all claims arising out of or relating to these Terms of Service or the Services shall not exceed the greater of: (a) the total fees paid by you to Cortexvia during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred United States dollars (USD $100).
12.3. Essential Purpose. The limitations set forth in this section shall apply even if any limited remedy set forth herein fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
13. Indemnification
13.1. User Indemnification. You agree to indemnify, defend, and hold harmless Cortexvia, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your Content; (c) your violation of these Terms of Service; (d) your violation of any rights of any third party; (e) your Chatbots and their interactions with End-Users; or (f) any claim that your Content or your use of the Services caused damage to a third party.
13.2. Control of Defense. Cortexvia reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Cortexvia in asserting any available defenses.
14. Governing Law and Dispute Resolution
14.1. Governing Law. These Terms of Service and any dispute arising out of or related to these Terms of Service or the Services shall be governed by and construed in accordance with the laws of the jurisdiction in which Cortexvia Technologies is established, without regard to its conflict of law provisions.
14.2. Jurisdiction. You agree that any legal action or proceeding arising out of or related to these Terms of Service or the Services shall be brought exclusively in the courts of competent jurisdiction where Cortexvia Technologies is established. You consent to the personal jurisdiction of such courts and waive any objection to the venue of such courts.
14.3. Dispute Resolution. Prior to initiating any legal action, you agree to first attempt to resolve any dispute by providing written notice to Cortexvia at [email protected] describing the dispute and your proposed resolution. The parties shall engage in good-faith negotiations for a period of thirty (30) days from receipt of such notice. If the dispute is not resolved within this period, either party may proceed with formal legal action as provided herein.
15. General Provisions

The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent.
