3. Pre-Litigation Dispute Resolution

3.1. Mandatory Notice Requirement. Prior to initiating any legal proceeding against Cortexvia, the aggrieved party must provide written notice to [email protected] describing the nature of the dispute, the specific provisions alleged to have been violated, the factual basis for the claim, and the relief sought. This notice requirement is a condition precedent to any legal action. 3.2. First Notice Period. Upon receipt of a dispute notice, Cortexvia shall have thirty (30) days to respond and attempt resolution. During this period, both parties shall engage in good-faith negotiations to resolve the dispute without litigation. 3.3. Second Notice Period. Failure to complete this process bars initiation of legal proceedings. 3.6. Mutual Legal Rights. Both Cortexvia and users reserve all legal rights and remedies against the other party for material violations of the Agreement. Nothing in this dispute resolution process shall be construed as a waiver of any legal rights.

4. Indemnification Obligations

4.1. User Indemnification. By using the Services, you agree to defend, indemnify, and hold harmless Cortexvia, its founders, team members, contractors, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to your use of the Services, your violation of the Agreement, your Content uploaded to or processed through the Services, your violation of any third-party rights including intellectual property rights, any claims by End-Users of your chatbots, and any claims by third parties arising from your chatbot's responses or functionality. 4.2. Defense and Control. Cortexvia reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate fully with Cortexvia's defense of such claims. You shall not settle any claim without Cortexvia's prior written consent. 4.3. Notification. You agree to promptly notify Cortexvia of any claim, action, or proceeding to which this indemnification may apply. Failure to provide prompt notice may affect your indemnification obligations to the extent such failure prejudices Cortexvia's ability to defend the claim.

5. Computational Infrastructure and Processing Acknowledgments

5.1. Distributed Architecture. The Services operate on a distributed computational infrastructure comprising multiple interconnected components including web servers, application servers, database clusters, caching layers, content delivery networks, and specialized processing endpoints. This architecture is designed for scalability, performance, and reliability but involves inherent complexities and dependencies. 5.2. Infrastructure Providers. The Services rely on infrastructure and services provided by external entities, including but not limited to cloud computing platforms, content delivery networks, payment processors, and specialized computational service providers. These providers operate their own facilities, employ their own personnel, and maintain their own security and operational procedures. 5.3. Processing Dependencies. Certain functionalities of the Services, particularly those involving artificial intelligence and machine learning capabilities, require transmission of data to specialized computational endpoints for processing. These endpoints may be operated by Cortexvia or by external computational and infrastructure service providers. The specific routing and processing of requests is determined dynamically based on system load, availability, and optimization algorithms. 5.4. External Provider Acknowledgment. Users acknowledge that the Services incorporate components and services from external providers operating under their own terms of service, privacy policies, and operational procedures. Cortexvia does not exercise direct control over the internal operations, security implementations, data retention practices, employee access controls, or business continuity capabilities of these external entities. By using the Services, users accept all risks inherent in this distributed processing architecture. 5.5. Liability Allocation. Cortexvia is not responsible or liable for any acts, omissions, security incidents, data breaches, service interruptions, policy changes, business failures, or other events attributable to external infrastructure or service providers. Users' exclusive remedy for issues arising from external provider actions is to discontinue use of the Services.

6. Artificial Intelligence Risk Acknowledgment

6.1. Probabilistic Nature. Users acknowledge that artificial intelligence systems, including large language models and machine learning algorithms, are fundamentally probabilistic in nature. These systems generate outputs based on statistical patterns learned from training data and do not possess understanding, reasoning, or knowledge in the human sense. 6.2. Output Limitations. AI-generated responses may be inaccurate, incomplete, outdated, biased, misleading, contextually inappropriate, or entirely fabricated. The models may "hallucinate" information that appears authoritative but has no basis in fact. Users must not rely on AI outputs for critical decisions without independent verification. 6.3. No Professional Advice. Cortexvia does not provide professional, legal, medical, financial, tax, engineering, or other specialized advice. AI-generated responses should not be treated as professional advice of any kind. Users requiring professional advice should consult qualified professionals in the relevant field. 6.4. User Responsibility. Users are solely responsible for evaluating the accuracy, completeness, and appropriateness of AI-generated responses before acting upon them. Users must implement appropriate review processes and disclaimers for their End-Users. 6.5. Liability Disclaimer. Cortexvia is not responsible or liable for any harm, loss, damage, injury, claim, or expense arising from reliance on AI-generated content, including but not limited to misinformation, incorrect advice, offensive content, business losses, personal injury, or any other consequences of AI output usage.

7. Service Disclaimers and Warranty Exclusions

7.1. As-Is Provision. The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Cortexvia disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. 7.2. No Uptime Guarantee. While we strive for high availability, we do not guarantee uninterrupted, continuous, or error-free access to the Services. Downtime may occur due to scheduled maintenance, emergency repairs, infrastructure failures, cyberattacks, or circumstances beyond our control. 7.3. No Results Guarantee. Cortexvia does not warrant that the Services will meet your specific requirements, that AI outputs will be accurate or suitable for any particular purpose, that defects will be corrected, or that any particular results will be achieved through use of the Services. 7.4. Data Loss Disclaimer. While we maintain backup procedures, we do not guarantee the preservation, availability, or recoverability of user data under all circumstances. Users are strongly advised to maintain independent backups of critical data. We are not liable for data loss due to system failures, cyberattacks, natural disasters, human error, or any other cause. 7.5. Force Majeure. Cortexvia shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, power failures, internet disruptions, or failures of third-party service providers.

8. Limitation of Liability

8.1. Exclusion of Damages. To the maximum extent permitted by applicable law, in no event shall Cortexvia, its founders, team members, contractors, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, business opportunities, or other intangible losses, arising out of or in connection with the Agreement or the Services, regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Cortexvia has been advised of the possibility of such damages. 8.2. Liability Cap. To the maximum extent permitted by applicable law, the total cumulative liability of Cortexvia for all claims arising out of or relating to the Agreement or the Services shall not exceed the greater of: (a) the total fees paid by you to Cortexvia during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (USD $100). 8.3. Essential Purpose. The limitations set forth in this section shall apply even if any limited remedy set forth herein fails of its essential purpose. These limitations are fundamental elements of the basis of the bargain between you and Cortexvia. 8.4. Jurisdictional Variations. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the liability of Cortexvia shall be limited to the maximum extent permitted by applicable law.

9. Policy Hierarchy and Interpretation

9.1. Document Precedence. In the event of a conflict between provisions of different policy documents within the Agreement, the following precedence shall apply: Terms of Service provisions take precedence over other policy documents; Privacy and Data Protection provisions take highest priority among non-Terms policies for matters relating to personal data handling; specific subject-matter policies apply to their respective domains where not in conflict with higher-precedence documents. 9.2. Version Control. Updated policies automatically supersede and replace all previous versions upon posting. The effective date and last revised date at the top of each policy document indicate the currently applicable version. Users are responsible for reviewing policies periodically to stay informed of changes. 9.3. Interpretation Principles. Ambiguous provisions shall be interpreted in a manner consistent with the overall intent of the Agreement, standard industry practices for similar services, and applicable contract law principles. Provisions shall be interpreted to be enforceable to the maximum extent permitted by applicable law.

10. Legal Severability

10.1. Severability. If any provision of this Legal Notice or the Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable under applicable law, such finding shall not affect the validity, legality, or enforceability of any other provisions. The remaining provisions shall continue in full force and effect. 10.2. Reformation. Any invalid or unenforceable provision shall be reformed to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent to the maximum extent possible. If reformation is not possible, the provision shall be severed. 10.3. Essential Terms. If any provision deemed essential to the fundamental purpose of the Agreement is found unenforceable, the parties shall negotiate in good faith to replace such provision with an enforceable provision that achieves the original commercial intent.

11. Acceptable Use Policy

11.1. Prohibited Content. Users are strictly prohibited from uploading, processing, or generating content that is illegal under applicable law, contains malware, viruses, or other harmful code, constitutes hate speech, promotes violence or discrimination, contains sexually explicit or pornographic material, infringes intellectual property rights of third parties, violates privacy rights of third parties, or is otherwise harmful, abusive, or objectionable. 11.2. Prohibited Activities. Users are prohibited from using the Services for illegal purposes, attempting to compromise the security of the Services, interfering with other users' access to the Services, creating chatbots for gambling or adult content websites, impersonating individuals or organizations, or any other activities prohibited by the Agreement. 11.3. Enforcement. Violation of these terms will result in immediate termination of the user's account and permanent deletion of their data without refund, prior notice, or opportunity for appeal. Egregious violations may be reported to law enforcement authorities. 11.4. User Responsibility. Users assume full legal responsibility for all content they upload, process, or generate through the Services, and for all activities conducted through their account.
